Status
The Corporation is exempt from federal income tax as determined
under section 501(a) of the Internal Revenue Code as an organization
described in section 501(c)(3).
Membership and Meetings
Members shall be any individual interested in the arts and the goals,
activities, and programs of the Corporation. All members shall have
voting privileges at the annual meeting in the election of officers
and members of the Governing Board, and shall pay the dues, which
are or may be established by the Governing Board. Members are welcome
to attend all regular monthly meetings.
An annual meeting of the membership shall be held on the last Tuesday
in the month of March each year at 7:30 p.m., for the purpose of
electing officers and board members, and for the transaction of
such other business as may come before the meeting. Written reports
are to be presented by each standing committee chairman detailing
committee accomplishments and recommendations for the coming year.
Governing Board and Officers
The affairs of the Corporation shall be controlled and governed
by the officers and the Governing Board created and empowered in
accordance with the provisions of this article. The Governing Board
shall have the power to establish policies and regulations for the
management and operation of the Corporation according to the laws
of the State of Indiana. The Governing Board shall also establish
procedures and criteria for admission to membership and shall establish
the dues for each member.
The Governing Board shall be comprised of eight officers: President,
Vice President, Recording Secretary, Corresponding Secretary, Assistant
Secretary, Treasurer, Assistant Treasurer, Historian and nine at
large members. The Board should be comprised of qualified persons
of diverse business and professional backgrounds who have an interest
and willingness to contribute their time, talents, skills and financial
support to Noblesville Cultural Arts Commission. They shall be advocates
for the agency in the community.
